MPA Tools End User License Agreement

Acceptance and scope

  • Installing, activating, or otherwise accepting MPA Tools creates a binding agreement between Veles Software Ltd. and the licensee.
  • The agreement covers trial editions, subscription renewals, and production deployments alike.
  • No license is granted for unlawfully acquired or unauthorized copies of the software.

License grant

  • The license permits internal business use by authorized users for the term purchased.
  • Deployment volume, concurrent use, and device count are limited by the purchase order confirmation unless expanded in writing.
  • One archival, disaster recovery, or testing copy may be retained, but it remains subject to the same ownership notices and restrictions as the original.

Use restrictions

  • The software may not be resold, sublicensed, rented, benchmarked for competitive purposes, or used to build competing offerings.
  • Licensees may not remove notices, bypass protection mechanisms, or use the product in unlawful or high-risk safety-critical scenarios.
  • Derivative works, translations, and other modifications are not permitted except where an applicable open-source component license explicitly allows them.

Data, privacy, and confidentiality

  • Usage data, technical diagnostics, and licensing telemetry are governed by the privacy policy referenced by the agreement.
  • Customer content remains the property of the customer, while resultant anonymized or sufficiently transformed data may be retained by Veles Software.
  • Both parties must protect confidential information and may disclose it only to representatives with a need to know and suitable confidentiality obligations.

Fees, security, and intellectual property

  • License fees, renewals, taxes, and any professional services charges follow the purchase confirmation and become immediately collectible if overdue.
  • Veles Software may use lawful verification and anti-misuse measures to enforce license compliance and improve the product.
  • All intellectual property rights in the software and documentation remain with Veles Software and its licensors.

Term, termination, and liability

  • The default initial term is one year with automatic renewal unless either party provides timely notice of non-renewal or the agreement is terminated earlier.
  • Termination requires the licensee to stop using the software, remove copies from controlled systems, and certify compliance if requested.
  • The agreement includes broad warranty disclaimers, a limitation of liability, export compliance requirements, and Alberta governing law.

Operational note

Use rights are narrow by design.

The license is intended for internal operational use by the licensed organization and its authorized users. Redistribution, managed service resale, derivative works, or use for competitive analysis are outside the permitted scope unless separately agreed in writing.
